Registering a private limited company in Pakistan runs through SECP’s eZfile portal: name reservation, a combined or standalone application, digital signing by every subscriber, fee payment and a digital certificate of incorporation. This guide walks through each step, the documents to prepare — and why the certificate is only the beginning of your tax and compliance journey.

Quick Answer

Incorporating a private limited company in Pakistan is an online process handled through SECP’s eZfile portal. Founders prepare the company details and ownership structure, create eZfile user accounts with digital PINs, reserve the company name (or file a combined name-reservation-and-incorporation application), submit the application with the memorandum and articles, complete the declarations and digital signing, pay the applicable fee and receive a digital certificate of incorporation. A certificate is not the same as complete tax compliance: SECP’s one-window process can pass company information to FBR for income tax/NTN enrolment, but sales tax registration, sector licences and ongoing filings are separate steps that must be confirmed individually.

If you plan to operate a business through a separate legal entity in Pakistan, incorporating a private limited company with the Securities and Exchange Commission of Pakistan (SECP) is one formal route. The current online process is handled through SECP’s eZfile portal. Applicants provide the proposed company name, business activity, capital, registered office details and information about subscribers and directors, complete the required digital declarations, pay the applicable fee and await SECP’s decision.

Company incorporation is not the same as completing every tax or regulatory registration. SECP’s one-window process can transmit company information to the Federal Board of Revenue (FBR) for income tax/NTN enrolment, but this does not automatically complete every tax obligation, sales tax registration, licence or ongoing compliance requirement. This guide explains the incorporation process and what founders should consider afterwards.

Definition — Private Limited Company (Companies Act, 2017)

A body corporate registered under the Companies Act, 2017 with a legal identity separate from its shareholders and directors. A private company is generally formed by two or more persons, with a maximum of 50 members under SECP’s incorporation FAQs, and a member’s liability is generally limited to the amount, if any, remaining unpaid on that member’s shares. Where a company is formed by one person, the relevant structure is generally a single member company (SMC), which has its own requirements.

What Is a Private Limited Company in Pakistan?

A private limited company is a body corporate registered under the Companies Act, 2017. It has a legal identity separate from its shareholders and directors. A company limited by shares generally limits a member’s liability to the amount, if any, remaining unpaid on the shares held by that member.

Under the Companies Act framework, two or more persons may form a private company. SECP’s incorporation FAQs describe a private or multi-member company as having two or more members, with a maximum of 50 members. If only one person wishes to form a private company, the relevant structure is generally a single member company (SMC), which has its own requirements. Do not select the SMC option if the intended ownership structure has multiple members.

A company may be suitable where founders want:

  • A separate legal entity — a legal identity distinct from its shareholders and directors.
  • Defined share ownership — ownership recorded through the company’s shares.
  • Continuity — the company continues beyond a change in ownership.
  • A structure that can support future growth — including the introduction of additional shareholders, subject to the applicable rules.

Incorporation also creates statutory filing and record-keeping responsibilities; it should not be treated as a formality with no ongoing cost.

Private limited company or single member company?

The number of members is a key starting point. A private limited company is generally used where there are at least two members. A single member company is designed for a company formed by one person and has specific rules, including a nominee arrangement. If ownership may change, or additional shareholders may be introduced, consider the appropriate structure and obtain professional advice before filing.

The choice should also reflect the proposed ownership split, control arrangements, business activity, financing plans and future investors. The company’s memorandum and articles, share allocation and internal governance should be considered before submission.

Who Can Incorporate a Private Limited Company?

Two or more persons associated for a lawful purpose may form a private company by subscribing to the memorandum and complying with the Companies Act, 2017 and applicable regulations. The proposed company must have a lawful business purpose and must not use a prohibited or misleading name.

Certain regulated or specialised activities may require prior approval, a licence or a no-objection certificate from the relevant regulator before incorporation or before commencing operations. For example, SECP identifies specialised sectors such as banking, insurance and non-banking finance companies as subject to additional regulatory requirements. The applicable regulator and approval depend on the actual business activity, so check the position for your specific sector before filing.

Step-by-Step: How to Incorporate Through SECP eZfile

SECP’s current Promoters Guide describes an online process through eZfile, and SECP’s company registration guidance explains the overall route. Applicants can generally choose between a standalone name-reservation application and a combined application for name reservation and incorporation. The combined route allows both stages to be filed together where available and appropriate.

The journey, at a glance, looks like this:

Requirements, documents and portal screens vary by applicant, and alternative routes exist for foreign or corporate subscribers. Confirm the current process in SECP’s live eZfile portal and the Promoters Guide before filing.

  1. Prepare the company details and ownership structure Before opening the portal, agree the key details with the proposed shareholders and directors: the proposed company name or names, with a clear explanation of the name where required; the principal line of business and proposed business objects; the names and identification details of subscribers, directors and the proposed chief executive; the shareholding split, number and class of shares, and the proposed authorised and paid-up capital; the registered office or correspondence address, contact number and company email address; and the accounting period and other business information requested for third-party registrations. Decide the ownership split before filing — the shares allocated to each subscriber should match the agreed ownership arrangement and the company’s constitutional documents, and placeholder ownership details should not be used without understanding their legal and commercial effect.
  2. Create user accounts and obtain digital PINs Open SECP’s eZfile portal and follow the relevant sign-up route. SECP’s Promoters Guide states that a user obtains a PIN sent to the registered email address for electronically signing the application. Where there is more than one subscriber, each subscriber must create a separate user ID and obtain the required PIN to sign the application. Check that identification details, email addresses and mobile numbers are accurate, and follow the portal’s current instructions — particularly for overseas NICOP holders and foreign nationals, because additional identity and attestation requirements may apply.
  3. Select the combined or standalone application After logging in, select the relevant company formation process. If the company name has not yet been reserved, applicants may use the name reservation process and choose the combined name-reservation-and-incorporation route if available. If the name has already been reserved, proceed with the company incorporation process using the reserved name. Select the correct company type — private company for a multi-member private company — and follow the portal prompts, carefully distinguishing this from the single member company option.
  4. Propose and check the company name Enter the proposed name and check its availability through the portal. SECP’s Promoters Guide states that applicants may propose up to three names. Provide the significance of the proposed name and supporting evidence where the portal requests it. A name may be refused if it is identical or too similar to an existing company or otherwise conflicts with the Companies Act, applicable regulations or SECP naming requirements. Avoid names that are misleading, offensive, imply an unauthorised connection with a government body or regulated institution, or suggest a business activity the company is not authorised to undertake — and check the current SECP name-reservation guidance rather than relying on an old list of naming restrictions.

Fig 3: Up to three proposed names can be submitted for reservation — each with its significance and any supporting evidence the portal requests.
  1. Enter business objects and company information Select the relevant sector and principal line of business. The portal may populate suggested business objects based on the selected activity and may allow additional objects within the available options. Review the wording carefully: the objects should describe the company’s intended lawful activities and should not be broader or narrower than the founders intend. Then enter the capital details, registered or correspondence address, contact number and email address. SECP’s Promoters Guide explains that authorised capital is the maximum share capital authorised by the memorandum, while paid-up capital is the amount actually taken up by members or subscribers. The guide states that a company may be registered with minimum authorised capital of PKR 100,000 — confirm the current applicable requirement and fee treatment in the live portal before submission.
  2. Add subscribers, directors and shareholding details Enter the required particulars of each natural-person subscriber, director and proposed chief executive, including identification details, nationality, occupation, residential address, nature of directorship and shareholding information. Where a body corporate is a subscriber, the portal requires the relevant corporate and authorised representative details. Upload or provide the identification documents requested by the portal. For foreign nationals, foreign companies or overseas applicants, additional documents, attestations, undertakings or proof of status may be required — the requirements depend on the applicant’s circumstances, so use SECP’s current foreign-subscriber guidance and do not assume that the standard Pakistani-citizen document list is sufficient.
  3. Review the memorandum and articles of association The eZfile process can generate the memorandum of association (MOA) and articles of association (AOA) from the information entered. The MOA sets out key constitutional matters, including the company’s name, objects and capital, while the AOA contains internal governance rules. Review both documents carefully before signing; the portal may allow amendments to the generated articles. The shareholding, business objects, company name and other details in the constitutional documents should be consistent with the application. Where founders need customised governance, transfer restrictions, reserved matters or other shareholder arrangements, obtain professional legal advice before finalising the documents.
  4. Complete declarations and digitally sign the application Complete the declaration section and identify the declarant in accordance with the portal instructions. Review the full application for errors and omissions. Each subscriber must apply their own PIN to digitally sign where required, and the application can be submitted after the required subscriber signatures are completed.

Fig 4: Each subscriber signs the application digitally with their own eZfile PIN once the declarations are complete.
  1. Pay the SECP incorporation fee After submission, the portal displays the application reference and applicable fee. SECP’s Promoters Guide describes payment through credit or debit card and 1LINK/PSID routes, which may support internet banking, mobile banking, ATM and other listed channels. Available payment methods can change, so follow the options displayed in eZfile. Do not rely on an old fixed incorporation-fee figure in a blog or social media post — the fee can depend on the applicable schedule, filing type and capital-related factors, so use SECP’s current company incorporation fee calculator and fee schedule immediately before payment.
  2. Monitor the application and obtain the certificate Keep the application ID, payment evidence and portal notifications. Monitor the application in eZfile and respond promptly if SECP requests clarification, correction or additional documents. On successful processing, SECP issues a digital certificate of incorporation with a QR code, which is sent by email and can also be downloaded from the portal. The certificate confirms incorporation — it does not mean that the company has obtained every sector-specific licence or completed all tax and post-incorporation obligations.

Documents and Information to Prepare

The exact document checklist depends on the company’s ownership and business activity. For a standard local incorporation, prepare the following information and keep the relevant identity documents available:

  • CNIC or other valid identification details for each subscriber, director and proposed chief executive, as applicable.
  • Separate eZfile user accounts and PINs for subscribers who must digitally sign.
  • Proposed company name(s) and the explanation or supporting evidence requested by the portal.
  • Principal business activity and proposed objects.
  • Registered or correspondence office address, company email and contact number.
  • Capital and share details — authorised capital, paid-up capital, share classes and each subscriber’s share allocation.
  • Any additional declarations or documents requested by the portal.

Foreign subscribers and directors, and corporate subscribers, may need additional undertakings, certified or apostilled documents, board resolutions, company constitutional documents and other supporting information. Regulated or specialised businesses may require a prior NOC, licence or approval. Confirm the current requirements with SECP for the particular case rather than relying on a generic checklist.

How Much Does It Cost to Register a Private Limited Company?

There is no single fee figure that should be quoted as universally applicable to every incorporation. SECP publishes a fee schedule and an online company incorporation fee calculator, and the payable amount should be calculated using the live SECP calculator and confirmed in eZfile at the time of filing:

Budget separately for professional assistance, document certification or attestation where required, and any licences or registrations applicable to the business. Fees and portal charges can change, so figures quoted in older articles or social media posts should not be relied upon.

Does SECP Incorporation Automatically Register the Company with FBR?

SECP’s Promoters Guide describes a one-window facility under which information collected through eZfile is forwarded to FBR for NTN registration. It states that FBR-generated user ID, password and PIN are sent to the company’s chief executive. Therefore, the incorporation journey may include the company’s income-tax/NTN enrolment through this integration.

However, founders should verify that the company’s FBR registration has actually been completed and that the company has received and can access its FBR/IRIS credentials. FBR publishes basic information on income tax and NTN registration for taxpayers. Do not assume that a company is fully tax-compliant merely because it has received an SECP certificate.

An NTN or income-tax enrolment is also not the same as sales tax registration. Sales tax registration may be required depending on the company’s activities, supplies, status and applicable federal or provincial law. A company providing services may need to consider the relevant provincial or Islamabad Capital Territory sales tax authority, while goods-related obligations may fall under federal sales tax rules. The applicable position must be assessed separately. Likewise, being issued an NTN does not by itself mean that the company is on the Active Taxpayer List, has filed all required returns or has met withholding-tax, payroll, sales-tax or other obligations.

For the steps that follow, see our guides on NTN registration in Pakistan and on registering a business for tax in Pakistan.

Important — Incorporation ≠ Complete Tax Compliance

Receiving the certificate of incorporation is only the first of several distinct steps. Each of the following must be confirmed separately:

  • 1. SECP incorporation — the certificate of incorporation and constitutional documents issued through eZfile.
  • 2. FBR/NTN verification — confirm the one-window NTN enrolment has completed and access the company’s FBR/IRIS credentials.
  • 3. Sales tax registration, if applicable — federal or provincial sales tax registration depending on the company’s activities and supplies.
  • 4. Sector licences — any regulator-specific NOC, licence or approval required for the business activity.
  • 5. Ongoing filings — SECP returns, tax returns, withholding and payroll obligations as they fall due.

What Should You Do After Receiving the Certificate of Incorporation?

Incorporation is the beginning of the company’s formal compliance lifecycle. Depending on the company’s circumstances, the directors and management should address the following:

  • Download and securely retain the certificate of incorporation and constitutional documents.
  • Verify the company’s NTN/FBR enrolment and obtain access to the company’s IRIS account and credentials.
  • Open a bank account in the company’s legal name and complete the bank’s KYC and account-opening requirements.
  • Confirm whether sales tax registration, provincial service tax registration or any sector-specific licence is required.
  • Set up proper accounting records, supporting documents, invoices, payroll records and a system for tracking statutory deadlines.
  • Maintain statutory registers, minutes, shareholding records and other company records required by law.
  • Identify applicable SECP annual returns, financial statement filings and event-based returns, and diarise their due dates.
  • Assess employer-related registrations and obligations such as EOBI, provincial social security and labour registrations where applicable.
  • Review withholding-tax responsibilities and other tax obligations based on the company’s actual transactions.

The exact requirements and deadlines depend on the company’s size, type, activity and applicable law. Use current SECP and FBR guidance and obtain professional advice for the company’s specific facts.

Common Mistakes to Avoid

Many incorporation delays trace back to a handful of avoidable errors. Watch for the following when preparing your application:

MistakeWhy It Matters
Choosing the wrong structure — selecting a single member company when there are multiple intended shareholders, or vice versaThe structure must match the actual ownership. An SMC has its own rules, including a nominee arrangement, and a mismatch can hold up the application or require correction later.
Using an unsuitable company name without checking SECP’s current naming requirementsA name can be refused if it is identical or too similar to an existing company or conflicts with the applicable naming rules, delaying the application.
Entering vague or inaccurate business objects that do not reflect the intended activityThe objects should describe the company’s intended lawful activities; wording that is broader or narrower than intended may not reflect the business.
Allocating shares without a clear written agreement among foundersThe share allocation should match the agreed ownership arrangement; placeholder details can carry legal and commercial effect.
Entering inconsistent identification, address, email or contact detailsMismatched details can complicate identity checks, digital signing and later correspondence with SECP and FBR.
Assuming that the incorporation certificate is the same as every tax registration or operating licenceNTN enrolment, sales tax registration and sector licences are separate steps that must each be confirmed individually.
Quoting or budgeting an outdated SECP fee rather than using the live calculatorThe fee depends on the applicable schedule, filing type and capital-related factors, and it can change — always use the live calculator and fee schedule.
Ignoring portal messages or failing to respond to an SECP querySECP may request clarification, correction or additional documents; an unattended query can stall the application.
Failing to plan for annual filings, accounts, tax returns and other post-incorporation complianceStatutory obligations continue after incorporation, with due dates that should be tracked from the outset.
